Terms of Service

These Terms of Service ("Terms") govern your access to and use of Simba (the "Service") provided by AgentiqMinds LLP ("AgentiqMinds", "we", "us"). By creating an account or using the Service, you agree to these Terms.
1. Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. By using the Service you represent that you are authorised to bind the business on whose behalf you act.
2. Your account
You are responsible for keeping your account credentials confidential and for all activity under your account. Notify us immediately at support@agentiqminds.com if you suspect unauthorised access.
3. Connected platforms
Simba connects to third-party platforms (including but not limited to Meta's WhatsApp Business API, Instagram, Facebook, Marketing API, Google services, ERPNext, Vendure, and payment gateways) on your authorisation. You represent that you own or are authorised to manage the accounts you connect, and you agree to comply with each connected platform's own terms.
4. Acceptable use
You may not use the Service to:
- Send unsolicited bulk messages, spam, or content that violates Meta's WhatsApp Business or Messaging Policies.
- Distribute content that is illegal, fraudulent, defamatory, hateful, sexually explicit, or that infringes intellectual-property or privacy rights.
- Impersonate any person or entity or misrepresent your affiliation.
- Reverse engineer, scrape, or attempt to extract source code from the Service.
- Interfere with the Service's integrity, security, or availability.

5. AI-generated content & approvals
Simba may generate content, drafts, posts, replies, and recommendations using artificial intelligence. AI output may be inaccurate, incomplete, or unsuitable. You are solely responsible for reviewing and approving any content before it is published or sent to third parties. The "Simba works. You decide." principle applies — Simba defaults to seeking your approval for material actions.
6. Fees and billing
Paid plans, usage charges (including AI inference, messaging, and ad spend pass-through), and any add-on services (such as a dedicated human operator) are billed in accordance with the pricing presented at sign-up or in your order form. All fees are exclusive of applicable taxes (including GST). Late payments may result in suspension of the Service.

8. Intellectual property
The Service, including software, designs, and trademarks, is owned by AgentiqMinds and its licensors. You retain all rights to content you upload ("Customer Content"). You grant us a limited licence to host, process, and transmit Customer Content solely to operate the Service.
9. Privacy
Our handling of personal data is described in our Privacy Policy.
10. Service availability
We strive to keep the Service available but do not guarantee uninterrupted access. The Service is provided "as is" and "as available" without warranties of any kind, express or implied, to the maximum extent permitted by law.
11. Limitation of liability
To the maximum extent permitted by law, AgentiqMinds' aggregate liability for any claim arising out of or relating to the Service shall not exceed the fees you paid to us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or exemplary damages.
12. Termination
You may stop using the Service at any time. We may suspend or terminate your account for breach of these Terms, non-payment, suspected fraud, or where required by law. Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination will survive.
13. Governing law
These Terms are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of the courts of Erode, Tamil Nadu, India.
14. Changes
We may modify these Terms from time to time. Material changes will be notified through the Service or by email. Continued use after changes take effect constitutes acceptance.
